Terms & Conditions

Last updated: September 14, 2026

These Terms & Conditions (“Terms”) govern registration for, enrollment in, access to, and participation in programs, webinars, courses, workshops, educational services, and related offerings provided by Intercultural Coaching Academy, operated by Actionsteps Coaching LLC (“Academy,” “we,” “us,” or “our”).

By registering for, purchasing, accessing, or participating in an Academy program, and where presented by affirmatively accepting these Terms, you (“Participant” or “you”) agree to be bound by these Terms and any applicable program-specific requirements.

If another person or organization pays for your participation, you remain subject to the participation, confidentiality, intellectual property, conduct, completion, and other applicable provisions of these Terms.

1. About the Academy

Intercultural Coaching Academy provides professional coaching education and development with a particular focus on intercultural coaching, cultural intelligence, inclusive leadership, and coaching across dimensions of cultural identity.

The Academy offers ICF-accredited coaching education programs, including its 30-hour program, 65-hour program, and 2-hour webinar. The specific accreditation status, education hours, completion requirements, and other characteristics applicable to an offering are described in the relevant program information.

2. ICF Accreditation and Individual Credentials

Accreditation of an Academy education program by the International Coaching Federation (“ICF”) is separate from an individual’s ICF credential.

Completion of an ICF-accredited Academy program does not, by itself, confer an ACC, PCC, MCC, ACTC, or other individual ICF credential.

Individual credential eligibility, application requirements, examinations, coaching-experience requirements, credential awards, renewals, and credentialing decisions are determined by ICF.

The Academy does not guarantee that participation in or completion of an Academy program will result in the award, renewal, or acceptance of any individual ICF credential or other professional designation.

Participants are responsible for understanding the credential pathway they intend to pursue and any requirements applicable to them.

ICF standards and credentialing requirements may change. Where such changes affect an Academy program, the Academy may make reasonable modifications necessary to maintain applicable accreditation standards or program integrity.

3. Enrollment and Acceptance of Terms

Enrollment is subject to availability and any eligibility requirements applicable to the program.

Where enrollment requires payment, registration is not complete until the applicable payment or approved payment arrangement has been received and the Academy has accepted the enrollment.

Participants may be required to affirmatively acknowledge and accept these Terms electronically during registration.

The Academy may retain records showing the date and version of the Terms accepted in connection with an enrollment.

4. Program-Specific Requirements

Different Academy programs may have different education hours, attendance requirements, assignments, coaching practice requirements, observed coaching requirements, Mentor Coaching requirements, assessments, performance evaluations, participation requirements, make-up requirements, and completion criteria.

Program-specific requirements communicated through enrollment materials, program information, a syllabus, learning platform, handbook, or written program communications form part of the requirements for successful completion.

If a program-specific requirement differs from these Terms concerning an academic or completion requirement, the more specific program requirement will ordinarily govern that issue, provided it is consistent with applicable law and accreditation requirements.

5. Tuition and Payment

Tuition and fees for paid programs will be disclosed before enrollment.

The Academy may offer payment in full or an approved installment plan.

An installment plan is a method of paying the agreed program tuition and is not a month-to-month subscription.

A Participant’s failure to attend classes, access materials, submit assignments, or otherwise participate does not by itself cancel enrollment or payment obligations.

Cancellation or withdrawal must be made in accordance with Section 8.

The Academy’s 2-hour webinar is currently offered without tuition. Payment and refund provisions therefore do not apply to that offering unless a fee is expressly disclosed for a future offering.

6. Installment Payments and Failed Payments

Participants using an installment plan are responsible for maintaining a valid payment method and making payments according to the agreed schedule.

If an installment payment fails or becomes overdue, the Academy may notify the Participant and provide a 7-day grace period to resolve the outstanding payment.

If payment remains outstanding after the grace period, the Academy may temporarily suspend access to program sessions, materials, learning platforms, assessments, or other program services until the account is brought current.

If payment remains unresolved for 30 days, the Academy may terminate enrollment, subject to applicable law and the applicable cancellation and refund provisions.

The Academy may withhold completion certificates or other final completion documentation while amounts properly due under the Participant’s enrollment remain unpaid.

The Academy does not currently impose an automatic late-payment fee.

7. Payment Does Not Guarantee Completion

Payment of tuition provides the Participant with the opportunity to participate in the applicable educational program.

Payment does not purchase or guarantee a certificate of completion, ICF education hours, successful assessment, or any professional credential.

Participants must satisfactorily complete the requirements applicable to their specific program before receiving documentation representing full completion.

8. Participant Cancellation and Refunds

Unless a different policy is expressly disclosed for a particular offering, a Participant who wishes to cancel enrollment in a paid program must notify the Academy in writing at:

hello@interculturalcoachingacademy.com

The following refund schedule applies:

30 or more calendar days before the program start date:
100% of tuition paid will be refunded, less any actual non-refundable third-party payment-processing fees incurred by the Academy in connection with the Participant’s payment.

15–29 calendar days before the program start date:
50% of tuition paid will be refunded, less any actual non-refundable third-party payment-processing fees incurred by the Academy in connection with the Participant’s payment.

14 calendar days or less before the program start date:
No refund.

After the program has begun:
No refund.

Non-refundable payment-processing fees are limited to actual fees charged and retained by the applicable third-party payment processor in connection with the Participant’s payment. The Academy does not impose an additional fee merely for processing an eligible refund.

Failure to attend, failure to access course materials, or failure to make an installment payment does not constitute cancellation.

Where the Academy cancels an entire paid program and provides a refund under these Terms, the Academy will not deduct payment-processing fees from that refund.

Refunds will ordinarily be returned through the original payment method where required or supported by the applicable payment processor.

Any refund or cancellation rights that cannot lawfully be excluded or limited under applicable law remain unaffected.

9. Transfers and Deferrals

A Participant may request one transfer to a future cohort.

Transfer requests are subject to program availability, applicable accreditation and completion requirements, and Academy approval.

As a general policy:

  • requests made 30 or more days before the program begins will normally be considered without an additional transfer fee;
  • requests made 15–29 days before the program begins are subject to Academy approval;
  • requests made 14 days or less before the program begins will ordinarily be approved only for exceptional circumstances; and
  • transfers after a program has begun are not an automatic entitlement and may be approved in exceptional circumstances.

Unless otherwise agreed in writing, an approved transfer should ordinarily be used within 12 months of the original program start date.

A Participant is normally entitled to only one transfer.

Future cohorts may have different dates, schedules, faculty, delivery arrangements, learning platforms, materials, or other program features.

Approval of a transfer does not automatically establish that previously completed activities or hours can be carried forward. The Academy will determine what may be credited in accordance with the applicable program and accreditation requirements.

10. Illness and Exceptional Circumstances

The Academy recognizes that illness, family emergencies, bereavement, and other serious circumstances may affect a Participant’s ability to attend or complete a program.

Participants should notify the Academy as soon as reasonably possible when such circumstances affect participation.

Depending on the circumstances, the Academy may, at its discretion and subject to applicable program and accreditation requirements, offer an accommodation such as an approved make-up activity, attendance at an equivalent session in another cohort, an individual or small-group make-up session, temporary deferral, transfer to a future cohort, or another reasonable arrangement.

The Academy may request reasonable supporting information where appropriate for a significant accommodation or deferral but does not ordinarily require unnecessary disclosure of detailed medical information.

Illness or exceptional circumstances do not automatically create a right to a refund outside the refund policy in Section 8, although the Academy may exercise reasonable compassionate discretion and any rights required by applicable law remain unaffected.

11. Missed Sessions — 30-Hour Program

Participants are responsible for attending and completing the education necessary for the certificate or ICF Continuing Coach Education (“CCE”) documentation they seek.

When a Participant misses an eligible portion of the 30-hour program, the Academy will determine the appropriate remedy based on the nature of the missed content and applicable program and ICF requirements.

Possible options may include:

  • attending the equivalent session in another cohort, where available;
  • completing an Academy-approved make-up activity where appropriate; or
  • arranging an individual or small-group make-up session with an Academy instructor at the Participant’s expense.

Any fee for an instructor-led make-up session will be disclosed before the make-up is booked.

Where permitted under applicable ICF requirements and appropriate to the program, a Participant who does not complete all program hours may instead receive documentation reflecting only the eligible CCE hours actually completed.

The Academy determines whether a proposed make-up satisfies applicable educational and accreditation requirements.

12. Missed Sessions — 65-Hour Level 1 Program

Participants in the Academy’s 65-hour ICF Level 1 accredited program are responsible for completing the applicable education, attendance, coaching practice, observed coaching, Mentor Coaching, performance evaluation, and other requirements necessary for full program completion.

If a Participant misses a session or other required activity, the Academy will determine what, if any, make-up method is appropriate based on the content and type of activity missed, the structure of the accredited program, and applicable ICF requirements.

An approved make-up may include:

  1. attending the equivalent session with another Academy cohort, where available;
  2. completing an Academy-approved asynchronous or independent learning activity where the missed content may appropriately be completed in that manner and completion can be adequately verified;
  3. completing equivalent coaching practice, observation, feedback, or another approved learning activity; or
  4. completing an individual or small-group make-up session with an Academy instructor at the Participant’s expense.

Any fee for an instructor-led make-up will be disclosed before the make-up is scheduled.

The Academy does not guarantee that every missed session can be replaced by a recording, asynchronous activity, future-cohort session, or individual make-up.

Certain synchronous, experiential, observed coaching, Mentor Coaching, assessment, or performance-evaluation requirements may need to be completed in the manner specified by the Academy to satisfy applicable program and ICF requirements.

Accessing or viewing a recording does not, by itself, establish completion of a missed session or requirement.

Full Level 1 Completion

A Participant will receive the Academy’s certificate representing full completion of the 65-hour ICF Level 1 accredited program only after satisfactorily completing all requirements established for full completion of the accredited program.

Partial Completion

A Participant who completes only part of the accredited program and does not satisfy the requirements for full Level 1 completion will not receive a certificate representing full completion of the Level 1 program.

Where permitted under applicable ICF requirements, the Academy may instead issue an appropriate partial completion certificate accurately reflecting the eligible coach-specific education completed by the Participant.

The Academy will determine the education hours and categories appropriately documented on any partial completion certificate based on its attendance, participation, assessment, and completion records and applicable ICF requirements.

13. Free 2-Hour Webinar

The Academy’s 2-hour webinar is currently offered without tuition.

Registration does not guarantee completion documentation or applicable ICF education credit.

Participants must satisfy the attendance and other completion requirements established for the webinar.

A Participant who misses the webinar may register for a future offering if available but is not automatically entitled to completion documentation for a webinar not completed.

14. Attendance, Assignments and Assessments

Participants are responsible for satisfying all applicable program requirements.

Depending on the program, these may include live attendance, asynchronous learning, assignments, reflective exercises, peer coaching, coaching practice, observed coaching, feedback activities, Mentor Coaching, assessments, performance evaluations, and other learning or completion requirements.

The Academy will apply its program requirements reasonably and consistently and will determine whether the requirements for completion have been satisfied.

15. Recordings

The Academy may record selected teaching sessions, presentations, demonstrations, or other appropriate portions of its online programs for educational, quality-assurance, administrative, accreditation, or make-up purposes.

The Academy does not guarantee that any particular session will be recorded or that a recording will be available.

Access to a recording does not automatically substitute for attendance or satisfy a live, synchronous, experiential, observed, or other program requirement.

Because Academy programs may involve confidential coaching conversations and sensitive personal or intercultural discussions, the Academy may choose not to record breakout rooms, peer coaching, supervision-style conversations, personal reflection activities, or other confidential or sensitive portions of a program.

Coaching recordings, observed coaching recordings, performance evaluations, or other recordings involving identifiable individuals may be subject to additional consent, confidentiality, accreditation, and program requirements. Where required, appropriate notice and permission will be obtained.

Recordings made available to Participants are for authorized educational use only and may not be copied, distributed, published, sold, shared, screen-recorded, or otherwise reproduced without written authorization.

Marketing or promotional use of a Participant’s identifiable image, voice, testimonial, or personal story will not be based solely on enrollment and may be subject to separate permission.

16. Participant Recording, Screenshots and AI Tools

Participants may not record Academy sessions without prior authorization.

Unless expressly authorized, Participants may not audio-record or video-record sessions; screen-record sessions; photograph or screenshot confidential content; create unauthorized transcripts; use automated meeting bots or AI note-taking systems to capture sessions; upload confidential Academy or Participant content into generative AI systems; or use technology to reproduce or distribute confidential or proprietary program content.

17. Confidentiality Within the Learning Environment

Academy programs may involve coaching practice, personal reflection, case discussions, breakout conversations, workplace experiences, cultural identity, national culture, gender, generational experiences, and other potentially sensitive subjects.

Participants must respect the confidentiality of non-public information shared by other Participants, faculty, coaching clients, or other individuals through Academy activities.

Participants may not disclose another person’s confidential information outside the educational context without appropriate permission, except where disclosure is required by law or otherwise legally permitted.

Confidentiality obligations continue after a Participant completes or leaves the program.

The Academy cannot guarantee that other Participants will always comply with their confidentiality obligations, but material violations may result in disciplinary action, suspension, or removal.

18. Coaching Client Information

Participants remain responsible for protecting the confidentiality and privacy of their own coaching clients.

Participants should avoid unnecessarily disclosing information that identifies a client, employer, team member, organization, or other third party during Academy activities.

Where a Participant brings a recording, case, transcript, document, or other client-related material into an Academy activity, the Participant is responsible for obtaining any permission required by applicable law, professional obligations, contractual obligations, or applicable ethical standards.

19. Intellectual Property

Unless otherwise stated, Academy-created curricula, course structures, presentations, videos, recordings, exercises, workbooks, handouts, assessments, templates, graphics, written materials, proprietary methodologies, and other original educational materials are owned by or licensed to Actionsteps Coaching LLC and are protected by applicable intellectual property laws.

Enrollment grants Participants a limited, personal, non-exclusive, non-transferable license to access and use authorized Academy materials for their own learning and professional development.

Participants may also use designated Academy tools, concepts, or exercises in their individual professional coaching practice where such use is consistent with the instructions accompanying the material.

This permission does not authorize a Participant to reproduce or distribute Academy course materials; sell, sublicense, or commercially distribute them; publish them online; provide copies to others except where a resource is expressly designated for such use; translate and distribute Academy materials; incorporate substantial Academy materials into another course, certification, workshop, or training program; train or certify others using Academy proprietary curriculum; remove copyright, trademark, or proprietary notices; represent Academy materials as their own creation; or create or market a substantially derivative or competing training program using protected Academy materials without written permission.

Additional permissions or restrictions may accompany particular materials and will govern those materials.

20. Participant Intellectual Property

Participants retain ownership of their own pre-existing intellectual property and original materials they create independently.

Enrollment does not transfer ownership of a Participant’s business, original coaching methods, pre-existing materials, personal reflections, or independent ideas to the Academy.

If the Academy wishes to use identifiable Participant-created material, a testimonial, case study, quotation, photograph, or similar content publicly for marketing purposes, appropriate separate permission may be obtained where required.

21. Educational and Professional Disclaimer

Academy programs provide education, professional development, coaching education, and related learning experiences.

Unless expressly stated otherwise, Academy services do not constitute medical care, psychotherapy, mental-health treatment, legal advice, financial advice, tax advice, employment advice, or other regulated professional services.

Participants remain responsible for determining their own professional scope of practice and for obtaining qualified professional advice when appropriate.

22. No Guarantee of Professional Outcomes

The Academy does not guarantee that enrollment or completion will result in an ICF credential, employment, promotion, increased income, new coaching clients, business growth, successful credential applications, successful assessments, professional advancement, or any particular personal, business, or professional outcome.

Educational outcomes depend on numerous factors, including Participant effort, experience, practice, circumstances, and requirements imposed by independent organizations.

23. Participant Professional Responsibility

Participants and graduates remain responsible for their own professional services, representations, decisions, conduct, client relationships, contracts, compliance obligations, and coaching practice.

The Academy does not supervise or control a Participant’s independent professional practice merely because the Participant attended or completed an Academy program.

Participants must not represent themselves as employees, agents, partners, or authorized representatives of Actionsteps Coaching LLC or Intercultural Coaching Academy unless expressly authorized in writing.

24. Respectful Learning Environment and Participant Conduct

The Academy is committed to a learning environment that supports professional dialogue, cultural humility, inclusion, curiosity, and respect.

Participants may disagree with ideas, theories, faculty, or one another. Respectful intellectual and professional disagreement is not, by itself, misconduct.

Participants may not engage in serious or repeated conduct that materially undermines the learning environment, including harassment, unlawful discrimination, bullying, threats, intimidation, retaliation, serious or repeated disruption, material confidentiality violations, unauthorized recording, serious intellectual property violations, academic dishonesty, unsafe conduct, serious unethical conduct in Academy coaching activities, or material violations of these Terms or applicable program policies.

25. Suspension or Removal

Where appropriate, the Academy may notify a Participant of a concern and provide a reasonable opportunity to address or correct it.

The Academy may suspend or remove a Participant where reasonably necessary because of serious or repeated misconduct, non-payment, safety concerns, confidentiality violations, material breaches of these Terms, or other substantial violations of program requirements.

Where circumstances involve an immediate safety, confidentiality, integrity, or serious misconduct concern, the Academy may take temporary or immediate action while reviewing the matter.

Any financial consequences of removal will depend on the circumstances, these Terms, amounts properly due, applicable program policies, and applicable law.

26. Participant Complaint and Grievance Policy

A Participant who has a concern about an Academy program, faculty member, administrative decision, or learning experience is encouraged to raise the matter promptly.

Formal complaints or grievances should be submitted in writing to:

hello@interculturalcoachingacademy.com

The complaint should provide sufficient information for the Academy to understand and review the concern.

The Academy will acknowledge and review complaints within a reasonable period, taking into account the nature and complexity of the matter.

Where appropriate, the Academy may request additional information, speak with relevant individuals, review applicable records, and provide a written response.

The Academy is committed to addressing complaints fairly and in good faith. Raising a good-faith complaint will not, by itself, result in retaliation or adverse treatment.

27. Changes to Programs

The Academy may make reasonable changes to program schedules, sequence, faculty, guest speakers, teaching methods, technology platforms, learning activities, materials, or delivery arrangements.

Such changes may be made for educational, operational, faculty, technological, accreditation, quality-assurance, safety, or other reasonable purposes.

The Academy will seek to preserve the essential nature and educational objectives of the program and applicable accreditation requirements.

A reasonable change to an instructor, schedule, platform, sequence, or comparable program feature does not automatically entitle a Participant to cancel or receive a refund.

28. Faculty Substitution

The Academy may substitute an appropriately qualified faculty member, mentor, assessor, guest speaker, or other professional when reasonably necessary.

Faculty illness, emergency, scheduling conflict, or unavailability does not automatically constitute cancellation of the entire program.

The Academy may instead provide a qualified substitute, reschedule the affected activity, or provide another appropriate educational arrangement.

29. Academy Cancellation, Postponement or Rescheduling

The Academy may cancel, postpone, reschedule, or modify a program or session when reasonably necessary.

If an individual session is affected, the Academy may reschedule it, provide an appropriately qualified substitute, or offer an equivalent learning opportunity consistent with applicable program requirements.

If the Academy cancels an entire paid program and cannot provide a reasonable replacement or rescheduled offering, affected Participants will ordinarily be offered either:

  • transfer or credit toward an appropriate future Academy offering; or
  • a refund of tuition actually paid for the cancelled program.

Where the Academy provides a refund because it cancelled the entire program, payment-processing fees will not be deducted from the Participant’s refund.

To the maximum extent permitted by applicable law, the Academy is not responsible for incidental or consequential expenses incurred by a Participant in connection with a cancellation or schedule change, including travel, accommodation, childcare, lost income, lost business opportunity, or personal technology expenses.

30. Technology and Third-Party Services

Academy programs may rely on third-party services including Zoom, Stripe, website services, email providers, learning platforms, cloud services, and other technology.

The Academy will take reasonable steps to provide access to its programs but does not guarantee uninterrupted or error-free operation of third-party technology.

Participants are responsible for maintaining suitable internet access, equipment, software, and technical capability necessary to participate.

Where a substantial Academy-wide or platform-wide technology failure materially affects delivery, the Academy may reschedule the affected activity or provide a reasonable alternative.

A Participant’s individual internet, hardware, software, device, or technical failure does not automatically entitle the Participant to a refund or completion credit.

31. Privacy

The Academy’s collection and use of personal information is described in its Privacy Notice, as updated from time to time.

Participants are responsible for reviewing the Privacy Notice in connection with their use of Academy services.

32. Force Majeure

The Academy will not be responsible for delay or failure to perform an obligation where performance is prevented or materially affected by circumstances reasonably beyond its control.

Such circumstances may include natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, government action, public-health emergencies, widespread telecommunications or technology failures, major service-provider outages, labor disruption, or similar events beyond reasonable control.

The Academy will use reasonable efforts to mitigate the impact and, where practicable, reschedule or provide an appropriate alternative.

Nothing in this section excludes obligations that cannot lawfully be excluded.

33. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ACTIONSTEPS COACHING LLC ARISING OUT OF OR RELATING TO A PARTICIPANT’S ENROLLMENT IN OR PARTICIPATION IN A PARTICULAR ACADEMY PROGRAM WILL NOT EXCEED THE TOTAL TUITION ACTUALLY PAID BY THAT PARTICIPANT TO ACTIONSTEPS COACHING LLC FOR THAT PROGRAM.

To the maximum extent permitted by applicable law, Actionsteps Coaching LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost income, lost business opportunities, loss of goodwill, or similar economic losses arising from participation in or inability to participate in an Academy program.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

34. Participant Indemnification

To the extent permitted by applicable law, the Participant agrees to indemnify and hold harmless Actionsteps Coaching LLC from third-party claims arising directly from the Participant’s:

  • unauthorized infringement or distribution of Academy intellectual property;
  • infringement of third-party intellectual property through materials supplied by the Participant;
  • unauthorized disclosure of confidential client or third-party information;
  • unauthorized recording or distribution of Academy or Participant content; or
  • independent professional coaching services provided by the Participant to the Participant’s own clients.

This provision does not require a Participant to indemnify Actionsteps Coaching LLC for claims arising from Actionsteps Coaching LLC’s own conduct to the extent such indemnification is prohibited by applicable law.

35. Informal Dispute Resolution

Before initiating formal legal proceedings concerning a dispute arising from these Terms, the Participant and Actionsteps Coaching LLC agree, to the extent permitted by applicable law, to provide written notice of the dispute and make a good-faith effort to resolve it informally.

The notice must describe the nature of the dispute and the resolution requested and must be sent to:

hello@interculturalcoachingacademy.com

The parties will have 30 days after receipt of the notice to attempt informal resolution unless they mutually agree to a longer period.

This requirement does not prevent either party from seeking urgent injunctive or protective relief or exercising a right that cannot legally be delayed or waived.

36. Mediation

If a dispute is not resolved through the informal resolution process, the parties agree, to the extent permitted by applicable law, to attempt to resolve the dispute through good-faith mediation before commencing court proceedings.

Mediation may be conducted remotely by videoconference unless the parties agree otherwise.

The mediator will be mutually agreed upon. Unless otherwise agreed, the parties will share the mediator’s fees equally.

Nothing in this section prevents either party from seeking urgent injunctive or protective relief or exercising non-waivable statutory or consumer rights.

37. Governing Law

These Terms and any dispute arising out of or relating to them will, to the extent permitted by applicable law, be governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

This provision does not override mandatory laws applicable to a Participant that cannot lawfully be waived by agreement.

38. Venue and Jurisdiction

To the extent permitted by applicable law, any court proceeding arising out of or relating to these Terms that is not resolved through the dispute-resolution process will be brought in a court of competent jurisdiction located in Pinellas County, Florida, and the parties consent to the jurisdiction of those courts.

This provision does not override any mandatory right of a Participant to bring proceedings in another jurisdiction where such right cannot lawfully be waived.

39. Preservation of Mandatory Rights

Nothing in these Terms excludes, restricts, or waives any consumer protection, statutory right, remedy, warranty, or liability that cannot lawfully be excluded, restricted, or waived.

If a mandatory provision of applicable law conflicts with these Terms, that mandatory provision will control to the extent required by law.

40. Employer- or Organization-Sponsored Enrollment

Where an employer or another organization pays a Participant’s tuition, payment by that organization does not automatically entitle it to confidential information concerning the Participant’s coaching conversations, personal reflections, peer discussions, or other confidential learning activities.

The Academy may provide reasonable administrative information concerning enrollment, attendance, completion, or payment where appropriately authorized or otherwise permitted.

Any broader reporting arrangement should be separately agreed.

A request to substitute another participant is subject to Academy approval, program eligibility, timing, availability, accreditation considerations, and applicable cancellation or transfer requirements.

41. Third-Party Links and Resources

Academy materials may refer or link to third-party websites, publications, assessments, resources, organizations, or services.

Such references do not necessarily constitute an endorsement or guarantee.

The Academy is not responsible for the independent content, availability, policies, products, services, or practices of third parties.

42. Changes to These Terms

The Academy may update these Terms from time to time.

The version applicable to material enrollment and payment terms will ordinarily be the version accepted in connection with the Participant’s enrollment, unless a change is required by law, accreditation requirements, or is otherwise agreed.

The Academy may make reasonable operational, administrative, safety, technology, or program-policy updates during a program where necessary, provided such changes do not improperly eliminate contractual rights that cannot lawfully be modified.

Updated Terms will identify the applicable revision date.

43. Electronic Communications

Participants agree that the Academy may provide program-related notices, invoices, enrollment information, policy communications, and other administrative communications electronically, including by email.

Participants are responsible for providing accurate contact information and keeping it reasonably current.

44. Assignment

Participants may not assign or transfer their contractual rights or enrollment to another person without the Academy’s written approval.

The Academy may assign its rights and obligations in connection with a legitimate reorganization, merger, sale, transfer of business, or similar transaction, subject to applicable law.

45. No Partnership or Agency

Participation in an Academy program does not create an employment, partnership, joint venture, franchise, fiduciary, or agency relationship between the Participant and Actionsteps Coaching LLC.

Participants and graduates have no authority to bind or make commitments on behalf of the Academy unless expressly authorized in writing.

46. No Waiver

If the Academy does not immediately enforce a provision of these Terms, that does not constitute a permanent waiver of the provision or prevent later enforcement.

Any waiver must be appropriately authorized and applies only to the circumstances for which it is given.

47. Severability

If a provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent reasonably necessary and permitted by law, and the remaining provisions will continue in effect to the extent legally permissible.

48. Entire Agreement

These Terms, together with applicable enrollment information, program-specific requirements, incorporated policies, and any written agreement expressly identified as part of the Participant’s enrollment, constitute the agreement concerning the matters they address.

They supersede prior representations concerning those matters to the extent permitted by applicable law.

Nothing in this provision excludes liability for fraudulent or other representations that cannot lawfully be excluded.

49. Survival

Provisions that by their nature should continue after completion, withdrawal, cancellation, or termination will survive, including applicable provisions concerning payment obligations, confidentiality, intellectual property, Participant professional responsibility, limitation of liability, indemnification, and dispute resolution.
